These Terms of Service (the “Terms”) are an agreement between you and Ryntra (“Ryntra”, “we”, “us”) for the use of Ryntra on Arc: the website at arc.ryntra.io, the Ryntra app on Arc Mainnet, payment request pages, the receipt verifier and the related APIs (together, the “Service”). By signing in with your wallet — the sign-in message says so — or by otherwise using the Service, including paying a payment request, you accept these Terms. If you do not accept them, do not use the Service.
In short
- The Service is software. It never holds your keys or your funds, and it cannot move, freeze, reverse or recover a payment.
- A passed check means only that the checks in section 6 found no reason to stop, at the moment they ran. It is not a promise about the recipient, the payment or its outcome — the decision to sign is yours.
- Anyone can create a token on Arc. Before a swap, the Service shows facts about a token, never a verdict — whether to swap is your decision.
- Amounts, addresses and transaction hashes on Arc are public, and a receipt can be checked by anyone who has its reference.
- There is no service-level agreement — no guaranteed uptime, response times or support hours — unless your organisation signs an Enterprise agreement that includes one.
- The Service is in beta. Payments, payment requests and payouts carry no Ryntra fee; a swap carries one, shown in full before you sign.
This summary helps you read the Terms. It is not part of them and does not change them.
1.The Service
The Service helps teams, companies, developers and people working for their own business get paid, pay out and prove payments in USDC — and in EURC where the Service offers it — on the Arc network, from wallets they control. Before you sign, the Service prepares an operation and checks it; after it settles, the Service reads the Arc network, compares what happened with what was prepared and seals a receipt.
The Service also lets you swap tokens on Arc from your own wallet — USDC, EURC, cirBTC and any other token on the network — and move funds between Arc and other networks.
The Service runs on Arc Mainnet, where payments move real value.
Ryntra on Arc is separate from Ryntra’s investing product at ryntra.io, which has its own terms.
2.Non-custodial software, not a financial institution
- Ryntra never holds your funds. Payments move directly from the payer’s wallet to the recipient’s wallet on the Arc network. They never pass through an address Ryntra controls, and there is no way to deposit money with Ryntra.
- Ryntra never holds your keys. Ryntra never asks for, stores or has access to a seed phrase, a private key or a wallet password, and it holds no standing permission over any wallet. Anyone asking for them in Ryntra’s name is attempting fraud.
- Your wallet signs. Ryntra prepares an operation and shows you what it does; only your wallet can sign it. Ryntra cannot sign for you, and cannot change a transaction after you have reviewed it.
- Payments are final. Ryntra cannot cancel, reverse, freeze, hold or recover a payment once it is signed.
Ryntra is not a bank, a payment institution, an electronic money institution, a money transmitter, an exchange, a broker, a custodian, an escrow agent or an investment adviser. It does not accept deposits, pay interest or yield, exchange currencies on its own account, or give financial, legal or tax advice. Ryntra is independent: it is not affiliated with or endorsed by Circle — the issuer of USDC and EURC and the developer of Arc — or by KyberSwap or any wallet provider. “Built on Arc” names the network the Service uses.
3.Who may use the Service
By using the Service, you confirm that:
- You are at least 18 years old and able to enter into a binding contract.
- You use the Service for your trade, business, craft or profession — as a company, a team, a developer or a person working for their own business. If you use it for an organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation.
- You are not a person — and are not owned or controlled by a person — who is the subject of sanctions administered by the United States (including by the Office of Foreign Assets Control), the United Nations, the European Union or the United Kingdom.
- You are not located in, and do not ordinarily reside in, Cuba, Iran, North Korea, Crimea (including Sevastopol), and the Donetsk, Luhansk, Kherson and Zaporizhzhia regions of Ukraine (the “Restricted Territory”).
- You do not use a VPN, a proxy or any other means to hide where you are or to get around a restriction of the Service or of a provider it uses.
Some services Circle provides to the Service — such as cross-chain transfer attestations and stablecoin swaps — are offered, under Circle’s terms, only where Circle serves the user’s country. The Service does not check this for you: where Circle does not serve your country, do not use those services through the Service.
KyberSwap’s terms exclude Iran, North Korea, Myanmar, Cuba, Venezuela, Belarus, the Russian Federation, Viet Nam, the British Virgin Islands, Crimea, Sevastopol and the non-government-controlled areas of Donetsk, Luhansk, Kherson and Zaporizhzhia. If you are in one of those places, you must not use KyberSwap through the Service. KyberSwap carries every swap except those between USDC, EURC and cirBTC, and may carry those too when Circle does not answer.
Hyperliquid’s terms of use (section 1.6) do not make its interface available to persons or entities who reside, are located, are incorporated or have a registered office in the United States of America or in Ontario, Canada, or in a jurisdiction subject to economic and trade sanctions or export controls, nor to citizens of such a jurisdiction. Futures in the Service are carried by Hyperliquid; if those terms apply to you, you must not use futures through the Service. Before your first trading key, the Service asks you once to confirm that you are not from the United States, Ontario or a sanctioned country, and keeps the date and your wallet address with the approval your wallet signed.
The Service does not block anyone by location, so these confirmations are yours. Each provider’s terms say where it may be used, and you are responsible for using it only where they allow.
4.Your wallet, your team and your account
You sign in by signing a message with your wallet (Sign-In with Ethereum, EIP-4361). The message says that by signing in you accept these Terms. Signing in is not a transaction: it moves no funds, costs no gas and approves no payment. A sign-in lasts up to 7 days in a browser, and you can sign out at any time.
Your wallet is your account. Whoever controls your wallet can sign in as you, and Ryntra cannot restore access to a wallet you have lost. Keep your wallet, its recovery phrase and your devices secure, and tell us at hello@ryntra.io if you believe someone has used your team without authority.
A team is the workspace that keeps your payment requests, recipients and payouts. It is created when you first save something to it, and its owner adds colleagues by their wallet addresses. The owner decides who belongs to the team and is responsible for removing anyone who should no longer have access. What a member does in the team, they do for the team.
5.Payments, payment requests and payouts
You decide and you sign. You are responsible for every operation you sign: its recipient, amount, asset and network, and your right to make it. Network fees on Arc are paid in USDC from your wallet to the network; they are not Ryntra’s fees.
Payment requests. A team creates a payment request and shares it as a link or a QR code. The team is responsible for what the request says and for being entitled to the payment. Ryntra does not verify who is asking for a payment, why, or whether the amount is owed — the payer’s page says so. If you pay a request, satisfy yourself that it is genuine before you sign. Ryntra is not a party to the arrangement between the payer and the team: it is not a seller, a marketplace, an escrow agent or a merchant of record.
“Paid” means found on the network. The Service marks a request paid only when a payment made through the request’s own page has been read on the Arc network, matched the request exactly and been sealed in a receipt. A payment made another way still reaches its recipient, but the request will not show it as paid. “Paid” is a statement about the network, not about whether any debt is discharged.
Payouts. A team that pays recipients through the Service is responsible for its relationship with them — contracts, invoices, taxes and the classification of the people it pays — and for complying with the law that applies to its payments. The Service is not a payroll service: it does not calculate, withhold, report or pay taxes or social contributions.
6.Checks before you sign — what a passed check means
Before you sign, the Service checks an operation with some or all of the following, depending on the operation and the network: the policy that applies to it — the Service’s own limits and, where your team has set a policy, its limits, recipients and required approvals; sanctions screening — the digital currency addresses on the Specially Designated Nationals list of the US Office of Foreign Assets Control, as included in the Service, and the USDC blocklist read from the Arc network; the wallet’s balance; an estimate of the exact transaction against the current state of the network; and an approval bound to the network, the wallet, the contract, the transaction data, the recipient, the amount and a deadline.
A check reports what those checks found at the moment they ran, using the rules that applied and the information available to Ryntra then. A passed check — shown as “Passed”, “Allowed by policy”, “Approved” or any similar status — means only that none of those checks found a reason to stop. It does not mean, and Ryntra does not promise, that:
- the recipient is who they claim to be, or the address is the one you intended;
- the payment is owed, lawful or free of fraud;
- no party to it is sanctioned, a criminal or otherwise prohibited — screening lists are incomplete and change, and an address that is not on a list can still belong to such a person;
- the transaction will be included in a block, succeed, or cost what was estimated;
- USDC or EURC will keep its value, or its issuer will not block an address or freeze its tokens; or
- your wallet, your devices or your approvers have not been compromised.
Checks apply only to operations prepared through the Service. They do not stop anyone who controls a wallet from using it outside the Service. You remain solely responsible for the decision to sign, for the rules your team sets, and for your own legal obligations, including any anti-money-laundering, sanctions and tax obligations that apply to you. The Service’s screening protects the Service; it is not your compliance programme.
A check can also stop an operation that is legitimate: a screening match can be a false positive. Ryntra may refuse to prepare or continue an operation that a check stops, and is not liable for a delay or a loss caused by a refusal made in good faith. When the result of an operation is unknown — for example, when the network does not confirm it in time — the Service does not repeat it; check the network before you try again.
7.Swaps and tokens on Arc
Who carries a swap. The Service lets you swap tokens on Arc from your own wallet. A swap between USDC, EURC and cirBTC goes through Circle’s Stablecoin Service; a swap of any other token goes through the KyberSwap aggregator. If Circle does not answer, or what it returns does not pass the Service’s checks, KyberSwap may carry a swap of USDC, EURC or cirBTC instead. Relay is used only for transfers between networks; swaps made through Relay before remain readable in the Service. The provider builds the transaction under its own terms, and only your wallet can sign it.
Anyone can create a token on Arc. Every token other than Arc’s official assets — USDC, EURC, cirBTC and WETH — is a third-party token. Ryntra does not issue, vet or endorse it. A token may be worthless or impossible to sell, may be taxed when you buy or sell it, or may imitate a real asset.
The token check. Before a swap, the Service shows a token check: facts read about the token, never a verdict or a recommendation. Where they can be read, it shows:
- the age of the token’s first pool;
- its liquidity, and its trading volume over the last 24 hours;
- the number of holders, and the share of the supply the ten largest hold;
- who created it, when a source names them;
- any tax on a buy or a sale, and whether a sale goes through — KyberSwap’s check for tokens that cannot be sold or that take a fee on transfer;
- whether its liquidity is locked — on many pools on Arc this cannot be measured; and
- whether CoinGecko lists it.
The facts come from GeckoTerminal’s public API, from KyberSwap’s token list and token check, and from the Arc network itself. A fact the Service could not read is shown as “Not read”, never as a zero. A token that copies the name of USDC, EURC, cirBTC or WETH at another address is marked “Not the real one”. Facts can be incomplete, out of date or wrong, and a token with good facts can still lose its value.
You decide. The Service does not block any token, and does not stop a swap because of what its token check shows. Whether to swap, and how much, is your decision.
8.Futures on Hyperliquid
Who carries a trade. The Service lets you trade perpetual futures on Hyperliquid, an on-chain exchange, from your own Hyperliquid account. Ryntra is not a party to any trade, does not hold your margin or positions, and does not run the exchange: Hyperliquid matches, settles and liquidates under its own terms. Your orders go from your browser to Hyperliquid directly.
The trading key. To trade, you approve with your wallet a trading key that the Service creates and keeps only in your browser. It acts inside your Hyperliquid account: it can open and close positions and set their leverage, and Hyperliquid would also let it move money between your Hyperliquid balances or into a Hyperliquid vault; it cannot withdraw to any wallet or send money to another address — Hyperliquid accepts those only with your wallet’s signature. The Service uses it only to place and close orders. It lasts one day, or up to seven days if you choose; an hour before it ends the Service tells you, and you can turn it off at any time in the Service. Anyone who can use your browser can trade with it while it is on; keep your device to yourself, and turn it off when you are done.
Leverage and liquidation. A futures position can lose everything you put into it. Each position the Service opens has its own margin: the amount shown as “You risk” — its margin and the fees paid to open it — is the most it can lose. If the price reaches the liquidation price shown before you confirm, Hyperliquid closes the position and that margin is gone; the liquidation price can move with funding, and prices can jump past it. Funding — a payment between longs and shorts every hour — is added to or taken from an open position. Leverage on the Service is 2x unless you choose more, at most 20x on BTC, ETH and SOL and 10x on other markets, never above what Hyperliquid allows; above 5x you confirm once that you understand liquidation.
Money in and out. A top-up moves USDC from your wallet on Arc to your Hyperliquid account through Circle’s cross-chain transfer service; a withdrawal moves it back to the same wallet on Arc. Circle takes its delivery fee, shown before you sign. Hyperliquid takes 1 USDC once, on a new account’s first withdrawal. Futures need a plain wallet: Hyperliquid accepts only the signature of the address itself, so the Service does not top up from a contract wallet such as a Safe or a smart account. When the result of a top-up, a withdrawal or an order is unknown, the Service does not repeat it; check before you try again.
Futures can be paused. Ryntra may pause opening positions and top-ups. Closing a position and withdrawing stay available through the Service while it runs, and always through Hyperliquid itself.
9.Receipts and verification
After an operation settles and Ryntra’s reconciliation matches it to the transaction on the Arc network, the Service seals a receipt: a record of what was prepared and approved, what settled and the result of the reconciliation, with a seal — a cryptographic hash — that shows whether the record has changed since. When a receipt is checked on the site, “VERIFIED” means only that Ryntra holds that receipt and its record still matches its seal; the site does not read the network again. The open-source arc-verify re-checks the transaction against the Arc network itself.
A receipt records facts as Ryntra read them, from its own records and from the network, when it was sealed. It is not an invoice, a tax document, a statement of account, or proof of the legal relationship between a payer and a recipient, and it does not prove that a debt is discharged. Anyone who has one of a receipt’s references — including the hash of its transaction, which is public on the network — can check it; the Privacy Policy says what such a check shows.
10.Availability, support and service levels
There is no service-level agreement. The Service is provided without any commitment to availability, uptime, performance, response or resolution times, support hours, data recovery or notice of maintenance, unless your organisation has signed an Enterprise agreement with Ryntra that includes a service-level agreement. Only that agreement sets service levels, and only for that organisation.
The Service depends on the Arc network, on providers of access to it and on Circle’s services, any of which can be slow, unavailable or change. Support is given on a best-effort basis at hello@ryntra.io.
Ryntra may pause the Service. To protect its users, Ryntra may pause the preparation of new operations at any time and without notice — for example during an incident, a problem with the network, or a change in sanctions lists. A pause does not affect funds: they stay in their wallets.
11.Fees
Payments, payment requests and payouts are free: Ryntra charges no subscription and takes nothing from any payment, request or payout. Network fees are paid to the network, and a fee charged by a third party — Circle or Relay on a transfer between networks, a wallet or an exchange, for example — is that party’s.
Swaps. Ryntra charges a fee on a swap. The fee is shown in full before you sign; it is taken inside the same transaction you sign and paid to Ryntra’s fee address on Arc. The rate depends on the two tokens: 1.00% when either is a new token or one CoinGecko does not list; 0.50% when either is a token CoinGecko lists whose first pool is at least a week old; 0.25% when cirBTC or WETH is swapped with USDC, EURC or each other; and 0.20% between USDC and EURC. When the facts about a token could not be read, the standard rate of 0.20% applies instead, shown on screen. A swap between two third-party tokens, with no official asset on either side, carries no Ryntra fee. The rate for each swap is the one shown before you sign.
On a swap through Circle, Circle also takes its own fee — 0.02% today, shown before you sign — and, under Circle’s terms, a tenth of Ryntra’s fee goes to the Arc network’s protocol. On a swap through KyberSwap, the pools’ own fees are part of the price.
Transfers between networks. A transfer between networks may carry a Ryntra fee. When it does, the fee is shown before you sign.
Futures. Ryntra charges a fee of 0.05% of the value of each futures trade, when you open and when you close, on top of Hyperliquid’s own fee; both are shown before you confirm. Hyperliquid collects it for Ryntra under the maximum you approve once with your wallet — 0.05% — and you can withdraw that approval on Hyperliquid at any time. Until you approve it, or when the Service shows no Ryntra fee, a trade carries none. Top-ups and withdrawals carry no Ryntra fee.
Ryntra plans to offer paid plans. Their prices will be published before they apply, and a paid plan applies to you only once you have agreed to it. Any other fee a feature carries is shown before you sign.
12.Beta features
The Service is in beta. Features may change, be limited or be withdrawn, and may contain errors.
13.Acceptable use
You must not use the Service to:
- break any law, or evade sanctions, export controls or the Restricted Territory;
- commit or help commit fraud, phishing, impersonation or a scam — including by creating payment requests that misrepresent who is asking or why;
- launder money, finance terrorism, or pay for anything unlawful;
- infringe anyone’s rights, or process personal data you have no right to process;
- interfere with the Service — attempt unauthorised access, test its security without our written permission, overload it or scrape it at scale;
- copy, resell or offer the Service as your own, except as its open-source licences allow; or
- suggest that Ryntra, or Circle, endorses you or your business.
Ryntra may refuse, pause or stop any use that breaks these rules, and may report it to the authorities where the law requires or allows.
14.Networks, stablecoins and third-party services
The Service works with third parties it does not control: the Arc network; USDC, EURC and cirBTC, issued by Circle under its own terms; Circle’s cross-chain transfer service, and its Stablecoin Service, which carries swaps between USDC, EURC and cirBTC; the KyberSwap aggregator and the pools it routes through; Hyperliquid, which carries futures; Relay, for transfers between networks; GeckoTerminal, a source of the token check; tokens created by others; wallet software; providers of access to the network; and block explorers. Each is governed by its own terms. Ryntra is not responsible for their availability, their data, their fees or their decisions — including a stablecoin issuer’s decision to block an address or freeze its tokens, or what a token’s own contract does.
15.Your data and personal data
The records your team keeps in the Service — requests, recipients, policies, payouts and notes — remain yours. You allow Ryntra to host, process and display them to provide and secure the Service. You are responsible for having the right to enter information about other people, including recipients and payers, and for telling them how it is used.
The Privacy Policy explains how Ryntra handles personal data. Where the GDPR or the UK GDPR applies to personal data your team processes through the Service, the Data Processing Agreement applies to that processing and forms part of these Terms; a signed copy is available on request.
16.Intellectual property and open source
The Service — its design, software and content, other than third-party materials and your data — belongs to Ryntra. Ryntra grants you a limited, non-exclusive, non-transferable and revocable licence to use the Service under these Terms. Parts of the Service are published as open source, including arc-verify under the Apache License 2.0; the open-source licences govern that code. If you send us feedback, we may use it without any obligation to you.
Arc, USDC and EURC are trademarks of Circle Internet Group. Other names and marks belong to their owners.
17.Disclaimers
To the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. Ryntra does not warrant that information read from the network or from third parties, token checks, screening lists or exchange rates are accurate, complete or current.
18.Limitation of liability
To the fullest extent the law allows:
- Ryntra is not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profits, revenue, business, goodwill, data or funds, however caused and even if it was foreseeable.
- Ryntra is not liable for any loss arising from a payment or a swap you signed — including one that passed a check — or from a payment request made by someone else, a token’s value or its contract, the acts of recipients, payers or other users, the Arc network, a stablecoin issuer, a swap provider, a wallet or any other third party, a compromised wallet, device or approver, or a pause or a refusal under these Terms.
- Ryntra’s total liability for all claims relating to the Service is limited to the greater of the amounts you paid Ryntra for the Service in the twelve months before the event giving rise to the claim and one hundred US dollars (US$100).
Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, for gross negligence or wilful misconduct where the law does not allow it to be limited, or any other liability that cannot be limited by law.
19.Indemnity
You will defend and indemnify Ryntra against claims by third parties — and the losses and reasonable costs that result — arising from your payments and payment requests, the information you enter about other people, your breach of these Terms, or your breach of the law.
20.Suspension and termination
You may stop using the Service at any time. Ryntra may suspend or end your access, or a team’s, if you break these Terms, if the law or a sanctions measure requires it, or to protect the Service or its users. Ending access does not affect funds, which stay in their wallets. Receipts already sealed may remain verifiable by their reference, because their purpose is to be checked by others. The sections on checks, receipts, your data, intellectual property, disclaimers, liability, indemnity and disputes continue to apply after termination.
21.Changes to these Terms
Ryntra may change these Terms. The version and the date it takes effect are shown at the top. Ryntra will announce a material change on this page and in the app at least 14 days before it takes effect, unless the law or the protection of users requires it sooner. If you continue to use the Service after a change takes effect, you accept the changed Terms; if you do not accept them, stop using the Service.
22.Complaints and disputes
If you have a complaint or a dispute, write to hello@ryntra.io first. Ryntra will try to resolve it with you informally within 30 days. Nothing in these Terms takes away a right you have under the mandatory law of the country where you live or are established.
23.General
- These Terms, the Data Processing Agreement where it applies, and any Enterprise agreement you sign are the whole agreement about the Service. Where an Enterprise agreement conflicts with these Terms, the Enterprise agreement prevails on its subject.
- If any part of these Terms is unenforceable, the rest remains in force.
- A failure to enforce a right is not a waiver of it.
- Ryntra is not liable for a failure or a delay caused by events beyond its reasonable control, including failures of the Arc network, of providers or of the internet.
- These Terms are written in English. A translation, if one is ever provided, is for convenience only.
- Ryntra may give you notices in the app or on this site; you may give Ryntra notices at hello@ryntra.io.
You may not transfer your rights under these Terms without Ryntra’s consent. Ryntra may transfer these Terms to a company it forms to operate the Service, or to one that succeeds to the Service, and will say so on this page.
